Corporate Legal Counsel (9240)
CareerFinders Recruitment Services LtdCareerFinders, on behalf of our client, a long-established and highly regarded company operating in the iGaming industry, we are seeking to recruit a Corporate Legal Counsel to join their growing team based in Limassol. Reporting to the Head of Legal, the successful applicant will primarily be responsible for providing advice on corporate governance matters and supporting the Board of Directors and Committees, including the preparation for Board and Committee meetings, preparing, managing and implementing corporate governance and related policies, as well as preparing, managing and implementing corporate policies. You should be educated to degree level in Law, preferably from a UK university, and possess 3+ years of experience in a relevant role. Excellent knowledge and understanding of corporate law and Registrar of Companies procedures is essential, and fluency in verbal and written English is a must. Key Duties/Responsibilities:
- Provide legal support to various entities across the Group, with a primary focus on corporate governance, corporate structuring, and strategic corporate matters.
- Advise on corporate governance matters across the Group, including supporting Boards of Directors and Board Committees, preparing board and shareholder documentation, maintaining corporate records, and ensuring compliance with applicable corporate governance frameworks, statutory obligations, and regulatory requirements.
- Manage the Group’s corporate housekeeping function, including maintaining statutory registers, corporate records and minute books, and ensuring the timely completion of corporate actions, filings, and ongoing compliance obligations across multiple jurisdictions.
- Liaise with corporate service providers, company registries, and regulatory authorities, including the Cyprus Registrar of Companies, in relation to incorporations, restructurings, corporate changes, statutory filings, certifications, and other corporate administration matters.
- Draft, review, and manage a wide range of corporate documentation, including board and shareholder resolutions, powers of attorney, constitutional documents, intercompany agreements, financing documentation, loan agreements, share issuances and transfers, capital reorganisations, and other corporate records.
- Support the establishment, maintenance, restructuring, and ongoing management of Group entities across multiple jurisdictions, ensuring compliance with applicable corporate, regulatory, and governance requirements.
- Plan, coordinate, and assist with legal due diligence exercises in connection with mergers and acquisitions, investments, financing transactions, regulatory applications, and other strategic corporate initiatives.
- Support corporate transactions and strategic projects, including mergers and acquisitions, corporate restructurings, reorganisations, joint ventures, capital raisings, and other cross-border corporate initiatives.
- Provide day-to-day legal advice to Group stakeholders on corporate, governance, financing, intellectual property, and general business matters, including partnerships, international ventures, and corporate finance transactions.
- Coordinate and manage relationships with external legal counsel on jurisdiction-specific matters, corporate transactions, regulatory issues, corporate governance matters, and legal risk management.
- Assist in the development, implementation, and continuous improvement of the Group’s corporate governance framework, policies, procedures, and internal controls.
- Support the Group’s M&A activities and broader strategic projects in collaboration with senior management and other key stakeholders.
Key Skills/Experience:
- A Law degree (LLB whilst LLM would be considered an advantage) preferably from a UK university.

- Admitted Attorney to the Bar of the State of origin.
- Minimum 3 years of experience.
- Experience in regulated industries will be considered an advantage.
- Excellent knowledge and understanding of corporate law and Registrar of Companies procedures.
- Fluency in English Language communication skills, both verbally and in writing.
- Strong attention to detail and organisational skills.
- iGaming experience and licensing experience (advantage).
