At current, bbf: is expanding the internal team, and we are looking for an in-house Corporate/ Commercial Lawyer to join our Legal Department.
The successful Candidate will be the one who prioritizes efficiency and teamwork in legal operations. We are seeking a dedicated and experienced Legal Counsel to lead complex corporate transactions, including drafting and negotiating SPAs and Shareholders’ Agreements, while supporting investor structuring and navigating the Cyprus real estate framework.
Location : Limassol
Reporting to : Chief Legal Officer
Main Tasks include:
- Commercial Contracts : Drafting, reviewing, and negotiating commercial agreements, including joint ventures, share purchase agreements, shareholders’ agreement, pledge agreements, investment framework agreements, promissory notes and service agreements.
- Corporate formation and administration : Establishing Cyprus companies (and in other jurisdictions), preparing Memorandum and Articles of Association, maintaining corporate registers.
- Corporate governance & advisory : Advising on company law, directors' fiduciary duties and compliance with anti-money laundering (AML) and Know Your Customer (KYC) requirements.
- Banking & Finance: Handling loan agreements, restructuring, re-domiciliation of companies, and securing financial collateral.
- Real Estate & Development: Provide legal support across the full lifecycle of real estate developments, Work closely with internal teams (finance, development, sales) on project structuring, overseing external counsel where required.
- Investor Relations: Act as a legal point of contact for investors and partners, Support negotiations and communications with local and international stakeholders, Ensure alignment between commercial objectives and legal risk management.
Requirements for the position:
- A qualified lawyer must be a member of the Cyprus Bar Association.
- Work experience of at least 5 years post qualification.
- Fluent Greek and English.
- Excellent communication skills, particularly with senior stakeholders and investors.
- Proven experience drafting and negotiating SPAs and Shareholders’ Agreements.
- Solid understanding of corporate structuring and investor arrangements.
- Familiarity with Cyprus real estate and development framework is highly desirable.
- Ability to manage multiple high-value projects simultaneously.
- Ability to work autonomously within a fast-paced environment.
