CareerFinders, on behalf of our client, an established International Group of Companies with diverse business interests, we are seeking to recruit an In-House Legal Counsel to join their expanding team of professionals based in Larnaca. The successful applicant will hold a minimum of 8+ years of experience in Corporate Law and speak Greek and English fluently. This represents a fantastic opportunity for an experienced Legal professional to join a growing and dynamic Group. 

Key Duties/Responsibilities:
 

• Draft and review general corporate contracts and commercial agreements, such as share purchase agreements, loan agreements, set-off agreements, service agreements, and employment agreements.
• Draft and review corporate documents, such as board resolutions, documents for the convention of board and shareholders meetings, power of attorneys.
• Participate in board and shareholders meetings, act as corporate secretary, and draft related meeting minutes.
• Participate in M&A transactions and group restructuring projects and collaborate with internal and external specialists.
• Pro-actively manage the relationship with external lawyers and third party specialist providers, including the control of the respective service levels.
• Communicate with the registrar of companies, including the electronic filing of HE forms.
• Coordinate and handle KYC requests from banks, auditors and other service providers or authorities, including dealing with UBO registers in Cyprus and in other jurisdictions of the group.
• Maintain the electronic contract database of the company and other group companies.
• Provide legal advice to other departments, as required, and ensure compliance with applicable local and EU laws, rules and regulations, incl. GDPR.
• Ensure that the company’s interests and reputation are protected.

 
Key Skills/Experience:
 

• University Degree in Law.
• 8+ years of previous working experience in Corporate Law.
• Strong interpersonal skills and ability to communicate well at all levels of the organization and with staff at overseas locations.
• Proactive, self-driven, highly trustworthy and reliable personality, which demands and delivers highest quality and accuracy of work.
• Professional level in English and Greek, both in oral and in writing.
